Terms and Conditions

These Terms and Conditions apply to all services of EasyWeb AI, an offering of N. Haas Consulting. By signing up, you accept these Terms and Conditions, the Privacy Policy and the Data Processing Agreement (DPA), which forms part of these Terms and Conditions.

1. Provider and scope

The provider is N. Haas Consulting, Noah Haas, Unterrotenweg 9b, 4208 Nunningen, Schweiz (UID CHE-283.639.057).

EasyWeb AI is aimed exclusively at businesses, self-employed persons, associations and other organisations that use the service in the course of their professional, commercial or organisational activities (“Customer”). By signing up, the Customer confirms that they do not use EasyWeb AI predominantly for private purposes and are authorised to enter into the contract. Mandatory statutory rights remain reserved.

Deviating terms of the Customer apply only if we have agreed to them in writing.

2. Services

EasyWeb AI is a service for editing and operating websites via chat (“AI Editor”). The Customer describes a change in their own words; EasyWeb AI creates a draft from it with a before/after comparison. Publication only takes place once the Customer approves the draft.

For websites hosted by EasyWeb AI, every subscription includes hosting in Switzerland with HTTPS and their own domain; depending on the subscription, it also includes users and roles, versions for restoring, a contact form inbox, visitor statistics without cookies, and export of the complete website as a ZIP file.

We continuously develop EasyWeb AI further. Functions may change, provided that the agreed core – editing, approving, publishing and exporting the website – is retained.

3. Subscriptions and changes

  • Basic: paid yearly CHF 588 per year (equivalent to CHF 49 per month), paid monthly CHF 59 per month; 50 points allowance per month (see below), 2 users
  • Business: paid yearly CHF 1188 per year (equivalent to CHF 99 per month), paid monthly CHF 119 per month; 200 points allowance per month (see below), 5 users, Videos, multilingual websites, 1 email mailbox included (with a domain via EasyWeb AI)
  • Premium: paid yearly CHF 2388 per year (equivalent to CHF 199 per month), paid monthly CHF 239 per month; 500 points allowance per month (see below), any number users, Videos, multilingual websites, up to 3 websites, 3 email mailboxes included (with a domain via EasyWeb AI)
  • Consultant (for consultants and agencies): CHF 59 per website and month or CHF 590 per website and year, minimum 3 websites; per website 150 points of quota per month, which the customer can freely distribute across their websites; any number of users, videos, multilingual websites. If a website is added or removed, the number is adjusted immediately and charged or credited pro rata.
  • Each completed message in the AI Editor uses points from the monthly quota depending on the effort involved: a simple change (e.g. opening hours, prices, a text, replacing a photo) uses 1 point, a larger one (e.g. a new section, a form, adjusting several pages) 3, and a redesign (e.g. a new page, a different layout, different colours or fonts) 10. The actual effort of the AI is decisive. Undoing, preview, publishing and editing texts directly in the preview do not count. An additional language version is a separate service (see below).
  • Before a redesign, EasyWeb AI shows how many points it will count and only carries it out after confirmation; at most the displayed number is deducted. Without a prompt, a task counts at most 3. If the remaining quota is not sufficient, EasyWeb AI shows this beforehand and offers an add-on pack or a larger subscription; charges are only made after express confirmation. The customer area shows the current status at any time. If the Customer considers a classification to be wrong, they may contact support.
  • The quota applies per calendar month; unused points expire at the end of the month.
  • In addition, each subscription has a technical usage limit for the AI’s computing power. It is sized for the usual maintenance of a website and protects against misuse and outliers – in particular in the case of automated or mass requests (e.g. via script), very extensive requests such as repeatedly rewriting the entire website or repeatedly processing very large files, and use for purposes outside the Customer’s own website. The basis is the computing effort that the AI provider charges for the Customer’s tasks. The customer area shows current usage as a percentage; we will point this out from 80%.
  • If the usage limit is reached, further AI tasks are suspended until the start of the next calendar month, unless the Customer switches to a larger subscription. The published website, the export and all functions without AI remain available. No additional costs arise as a result; paid extensions are only made with express consent. During a paid period, we will not change the usage limit or the calculation basis to the Customer’s detriment, except for compelling security reasons.
  • Multiple websites: With the Premium subscription, up to 3 websites can be operated; with the Consultant subscription, as many as have been paid for. Quota, add-on packs and the computing power cap apply jointly to all websites of the subscription; the Customer can allocate fixed shares to individual websites, and the others share the remainder. Adding an existing website is included in the subscription; having a further website newly created costs the standard setup packages (section 4). If the subscription ends or the Customer switches to a subscription with fewer websites, the same rules apply to the additional websites as to the main website (editing is blocked or deletion takes place after the end of the contract).
  • Additional services: An add-on pack for CHF 15 increases the quota by 25 points for the current calendar month. Unused portions expire at the end of the month.
  • Additional language: From Business, a language can be added to an existing website. EasyWeb AI machine-translates all pages using AI; the price is a one-off amount based on the text volume of the main language (up to 1500 words CHF 50, up to 4000 words CHF 75, above that CHF 100) and is charged to the subscription’s payment method before the translation. The translation does not count as a redesign. It first appears in the draft; the Customer checks it before publishing. If it is not completed for technical reasons, a new attempt is free of charge.

4. Setup of a new website and free trial

Free trial: After signing up, EasyWeb AI creates the Customer’s website according to their description free of charge and without a subscription. The free trial lasts 7 days from sign-up. During this time, the Customer can adjust the website via chat; for this, EasyWeb AI uses a simpler AI model, and with very intensive use, editing may pause or end until the following day. The trial website is not published. One free trial is possible per Customer, email address and internet connection. We remind the Customer by email before it expires. If they do not take out a subscription by the end of the trial, we block the trial website and delete it with all data 7 days later. There is no entitlement to the free trial.

The setup of the website is included in the subscription. If the Customer takes out the subscription from the free trial, the website created there is adopted; otherwise EasyWeb AI creates it after the subscription is taken out. Scope: up to 5 pages (Basic), 10 pages (Business) or 20 pages (Premium), one language. Further pages, languages and functions can be booked for an additional fee; we state the costs beforehand.

Further websites under the Premium or Consultant subscription can be created for a one-off fee; scope and price result from the chosen package. Within 14 days after such a setup, the revisions stated in the package are included; they do not count against the subscription.

With the “Add shop” option, EasyWeb AI helps with embedding a Shopify shop. The Customer concludes the contract with Shopify (account, fees, payments, order processing) directly with Shopify.

After setup, we provide the website as a draft for review. If the website deviates materially from the expressly agreed scope (e.g. missing pages or functions of the package), we will remedy this within a reasonable period at no additional cost – irrespective of design revisions. Further requests are chargeable; we state the costs beforehand.

A one-off setup fee is due with the order. After delivery of the draft, it is not refunded, even if the subscription ends later. Mandatory statutory warranty rights remain reserved.

4a. Domain registration and email mailboxes

On request, EasyWeb AI registers a .ch or .com domain for the Customer and sets it up for their website. The Customer is the holder of the domain; we register and manage it on their behalf via a registrar (currently Infomaniak). The terms of the competent registry (SWITCH for .ch, Verisign for .com) and of the registrar also apply.

For websites hosted by EasyWeb AI, one domain per website is included in every subscription, including the annual renewal, as long as the subscription is running. Each additional domain costs CHF 25 per year; the first year is charged at the time of ordering, the renewal about 30 days before expiry to the subscription’s payment method. Domain fees paid are not refunded, even if the subscription ends earlier.

The Customer is responsible for ensuring that the chosen name does not infringe third-party rights, in particular trademark, company name and personal name rights. If the name is no longer available at the time of registration, we will refund any fee already paid or, after consultation, register a different name.

The Customer may at any time require us to transfer the domain to a provider of their choice; we will provide the transfer code for this purpose. If the subscription ends, we will send the transfer code at the latest when the website is deleted. If the domain is not transferred, we will no longer renew it; it expires at the end of the paid term.

For domains registered by EasyWeb AI, we set up email mailboxes on request (with Infomaniak in Switzerland). Depending on the subscription, mailboxes are included (Business 1, Premium 3, Consultant 1 per website); each additional one costs CHF 60 per year, charged in advance and renewed annually like the domain. If the Customer switches to a subscription with fewer included mailboxes, the mailboxes no longer included are charged at the annual price from the time of the switch; if the Customer does not want this, they must cancel them beforehand.

The Customer receives access to a mailbox by email; EasyWeb AI does not store passwords. The Customer is responsible for the content and backup of their emails. If the subscription ends, we will cancel the mailboxes when the website is deleted; we will point this out beforehand so that the Customer can back up their emails or take the mailboxes with the domain to another provider.

5. Prices and payment

All prices are in CHF. N. Haas Consulting is currently not subject to VAT; therefore, no VAT is shown. If N. Haas Consulting becomes subject to VAT, VAT will be added at the statutory rate – for existing subscriptions from the next billing period, announced by email at least 30 days beforehand and with the right to cancel the subscription until then.

Subscriptions are payable in advance for the chosen period (month or year); one-off services upon ordering. Payment is processed via Stripe; we do not receive card data.

A switch to a larger subscription takes effect immediately; for the rest of the current period, only the difference is charged pro rata. A switch to a smaller subscription is made via the customer portal and also takes effect immediately, with the scope of the smaller subscription; the difference is credited to the customer account and offset against future invoices. In the case of ordinary cancellation, any remaining credit is not paid out, unless otherwise agreed or mandatory law provides otherwise.

We announce price changes by email at least 30 days in advance. They apply from the next billing period. In the case of a price increase or a material deterioration of the service, the Customer may cancel as of the date it takes effect; we will refund fees paid in advance for the period thereafter pro rata.

If a payment fails, we inform the Customer. If payment remains outstanding, editing is blocked; the published website remains online until the end of the contract. If the payment cannot be made up, the subscription ends.

6. Term and termination

Because building the website is included, the Basic, Business and Premium plans have a minimum term. With yearly payment, 12 months are paid in advance. With monthly payment at the higher monthly price, the minimum term is 6 months: a cancellation takes effect at the earliest at the end of the 6th month; the monthly fees remain due until then.

Subscriptions are billed in advance for a month or a year and renew automatically for the chosen period. The Customer may cancel at any time in the customer portal (“Manage payment & subscription”) effective at the end of the current period; the cancellation is confirmed immediately. Periods already paid are not refunded pro rata, except in the cases stated in these Terms and Conditions.

For annual subscriptions, we remind the administrators by email at least 30 days before renewal of the date, the amount and the option to cancel.

We may terminate the subscription with 30 days’ notice effective at the end of a period. For good cause – in particular in the case of unlawful content or misuse – we may block services immediately or terminate the contract without notice.

7. Customer obligations

  • The Customer is responsible for the content of their website – including content that EasyWeb AI creates on their behalf and which they approve. They check drafts before publishing.
  • They hold the necessary rights to the texts, images, logos, videos and documents they upload and do not infringe any third-party rights.
  • They ensure that their website contains the legally required information (e.g. legal notice, privacy policy). EasyWeb AI provides templates for this; they are an aid and not legal advice. So that no website goes online without this information, EasyWeb AI only publishes once a legal notice and a privacy policy without open placeholders are in place; EasyWeb AI does not check whether their content is complete and correct.
  • They keep their access credentials secret, protect administrator accounts with two-factor authentication (EasyWeb AI expressly recommends it and reminds them until it is set up) and inform us immediately if misuse is suspected.
  • If they invite third parties, they are responsible for their use and content as for their own. Invited persons do not thereby become contractual parties of EasyWeb AI. Invited editors and administrators can, depending on their role, trigger AI tasks and publish changes.
  • Consultants and agencies: Under the Consultant subscription, the consultant concludes the contract in their own name and is responsible for billing towards EasyWeb AI. They can give their clients access to the websites intended for them. They are responsible for being authorised to use and edit the websites they manage, for concluding the necessary agreements with their clients and for informing them about the use of EasyWeb AI and the associated data processing. If they process personal data on behalf of their clients, they conclude the necessary data protection agreements with them; the roles depend on the actual decision-making powers. The consultant remains our contact for contract and billing matters.
  • They do not use EasyWeb AI for unlawful content, spam, malware or attacks on other systems.

8. AI results

EasyWeb AI uses artificial intelligence to create and edit website content. AI results may be incomplete, factually incorrect or similar to third-party content. That is why every change first lands in the draft with a before/after comparison and automatic check; only approval by an authorised person publishes it.

The Customer checks drafts before approval, in particular texts, prices, contact details, legal information and images. Approval does not exclude our liability for technical errors for which we are responsible (section 13).

Missing information (e.g. phone number, prices) is inserted by EasyWeb AI as a placeholder in square brackets, and it points this out. The Customer completes it before publishing.

9. Availability, support and backups

We operate EasyWeb AI with due care and aim for high availability, but do not guarantee any particular availability. We carry out maintenance work outside business hours where possible.

In the event of a fault, we remedy the cause as quickly as possible and inform affected customers by email in the case of longer outages. In the event of a serious outage, we aim to restore service within one working day, with the state of the last successfully completed daily backup. These are operational targets, not guaranteed recovery times or maximum data loss: in the event of security incidents, damaged backups or failures of external infrastructure, it may take longer or an older state may be needed.

You can reach support by email at info@easyweb-ai.ch, Monday to Friday. We usually reply within one working day; we do not promise a binding response time.

We back up websites and data every day: we keep daily backups for 14 days, plus weekly backups for up to 60 days; each backup is also sent, encrypted, to a separate storage location in Switzerland. You can also restore any published version yourself in the customer area.

10. Rights in content

The content the customer provides (texts, images, documents) and their company profile remain theirs. We only receive the rights we need to edit, store and publish the website.

To the extent that transferable rights arise in the results created for the customer (e.g. texts, design, website code) and we are entitled to dispose of them, we transfer them to the customer upon full payment of the remuneration owed. Where a transfer is not possible, we grant the customer, to the corresponding extent, a non-exclusive right, unlimited in time and territory, to use, edit and share the results in connection with their website.

We do not warrant that AI-generated content is protected by copyright or is unique. Third-party rights – in particular in stock photos, embedded services and pre-existing software components – remain reserved; their licence terms apply to them.

Stock photos inserted by EasyWeb AI come from Pexels and may be used under the Pexels licence; this licence takes precedence over the grant of rights above. The EasyWeb AI software itself remains our property.

11. Data after the end of the contract

The customer can download their website as a ZIP file during the term of the contract and for 30 days afterwards, together with their data (company profile, settings, users, version list) in machine-readable form. The pages of the website are standard HTML and run on ordinary web hosting. Features that use EasyWeb AI services – the contact form, embeds that “load only after a click”, visitor counts and the Edit button – do not work without EasyWeb AI and must be replaced with the new provider. External services, accounts and licences are not part of the export. On request, we will help with the move to another provider for a fee agreed in advance.

After the end of the contract, the website and data are kept for 30 days. During this time the customer can still log in and, under “Trust & data”, download the website as a ZIP file and their data as a file – even without an active, paid subscription; only editing is blocked. They can also take out a new subscription. We remind the administrators by email 7 days before deletion.

After that, EasyWeb AI automatically deletes the website (including the live website where hosted by EasyWeb AI), all versions, uploads, users, form messages and the company profile. The data disappears from the backups after a further 60 days at the latest. Data that we are legally required to retain (e.g. invoices) is kept for the statutory period.

12. Data protection and data processing

How we process personal data is set out in the Privacy Policy. Where we process personal data on behalf of the customer (e.g. messages from the contact form on their website), the Data Processing Agreement (DPA) applies; it forms part of these Terms and Conditions.

13. Liability

We are liable in accordance with the statutory provisions for damage that we cause intentionally or through gross negligence, and for personal injury. Mandatory statutory liability provisions remain reserved in all cases.

For slight negligence, we are liable only for breach of essential contractual obligations and only for the direct damage typically foreseeable at the time the contract was concluded. To the extent permitted by law, this liability is limited overall to the subscription fees the customer paid in the 12 months before the damaging event; if the contract has lasted for a shorter period, to the fees actually paid.

We are not liable for indirect and consequential damage, in particular loss of profit and business interruption, in cases of slight negligence, to the extent permitted by law.

In the event of data loss for which we are responsible, direct damage includes in particular the reasonable, documented costs of restoration from existing backups. Restoration of all data or a specific restoration time is not guaranteed.

The customer is responsible for content that they provide themselves or approve after review; our liability for technical errors for which we are responsible remains unaffected. We are not liable for services provided by third parties (e.g. domain providers, Shopify, payment providers). To the extent permitted by law, these limitations also apply to auxiliary persons we engage.

14. Changes to these Terms and Conditions

We may amend these Terms and Conditions for objective reasons, in particular because of legal requirements, for security reasons or when developing the offering further. We will notify you of changes by email at least 30 days before they take effect; we will expressly flag changes to the customer's disadvantage.

If the customer does not agree to such a change, they may terminate the contract extraordinarily until the change takes effect; we will refund, pro rata, fees paid in advance for the period thereafter. If they do not terminate, the new Terms and Conditions apply from the date they take effect. Mandatory statutory rights remain reserved.

15. Further provisions

  • Force majeure: Neither party is liable for delays caused by extraordinary, unforeseeable events beyond its control that could not have been avoided despite reasonable care. The affected party informs the other as soon as possible and limits the impact. If a significant disruption lasts longer than 30 days, either party may terminate extraordinarily.
  • Assignment: The customer may transfer the contract only with our prior consent; we will not refuse it without objective reason. In the context of a transfer of business, we may transfer the contract to a legal successor, provided that performance of the contract remains assured and the customer's rights are not materially impaired.
  • The contract language is German; in the case of translations, the German version prevails, unless mandatory law provides otherwise.
  • Notices are given in text form, in particular by email or via the customer area, unless a mandatory form is prescribed.
  • The parties will endeavour to resolve disputes amicably first; either party may call upon the competent courts at any time.

16. Applicable law and place of jurisdiction

Swiss law applies, excluding the Vienna Convention on the International Sale of Goods (CISG). The place of jurisdiction is the registered office of N. Haas Consulting; mandatory places of jurisdiction remain reserved.

Should a provision be invalid, the remaining provisions remain valid; the statutory rule takes its place.
